IMPORTANT - READ CAREFULLY

This End User License Agreement and Terms of Service ("Agreement") is a legal agreement between you ("User," "you," or "your") and SoraVantia GK, a Japanese corporation ("SoraVantia GK," "we," "us," or "our") for the use of NuModeX Ext Maker Manifest V3 browser extension ("Service," "Extension," or "Software").

By clicking "I Agree," installing, or using the NuModeX Ext Maker browser extension, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

This Agreement is drafted in English. Translations into other languages are provided for convenience only. In case of any discrepancy between the English version and any translated version, the English version shall prevail and be the sole legally binding version.



1. GRANT OF LICENSE

NuModeX Ext Maker is licensed under the Business Source License 1.1 (BSL 1.1). The source code is publicly available in the project repository.

The Licensor hereby grants you the right to copy, modify, create derivative works, redistribute, and make non-production use of the Licensed Work. The Licensor may make an Additional Use Grant, above, permitting limited production use.

Effective on the Change Date, or the fourth anniversary of the first publicly available distribution of a specific version of the Licensed Work under this License, whichever comes first, the Licensor hereby grants you rights under the terms of the Change License, and the rights granted in the paragraph above terminate.

If your use of the Licensed Work does not comply with the requirements currently in effect as described in this License, you must purchase a commercial license from the Licensor, its affiliated entities, or authorized resellers, or you must refrain from using the Licensed Work.

1.2 End User License

If you are using NuModeX Ext Maker as an end user - whether installed from a browser extension store (if published by SoraVantia GK), built from the public source code repository, or sideloaded directly - this EULA governs your use of the software. The software is available for personal and internal business purposes at no charge.

1.3 Marketplace Restriction

Publishing this software (NuModeX Ext Maker, the builder tool) or any derivative works of this software to any browser extension marketplace requires prior written permission from SoraVantia GK. This includes, but is not limited to, the Chrome Web Store, Edge Add-ons, Firefox Add-ons, Safari Extensions, Naver Whale Store, and Opera Add-ons. This restriction applies regardless of whether SoraVantia GK has published the extension to any marketplace. Only SoraVantia GK or parties with explicit written authorization may publish the Licensed Work or derivatives to any browser extension marketplace. 1.4 Your Generated Output

Browser extensions, static websites, and any other content you create using NuModeX Ext Maker are your own work. You are free to publish, distribute, and commercialize your generated output on any platform, including any browser extension marketplace, without restriction or permission from SoraVantia GK.

The only exceptions are:

• You may not republish NuModeX Ext Maker itself or any derivative of it to any browser extension marketplace without prior written permission as described in Section 1.3.
• You may not use NuModeX Ext Maker to create a product or service whose primary purpose is substantially similar to NuModeX Ext Maker - that is, a tool for generating browser extensions or websites using AI. This restriction does not prevent you from building extensions or websites that happen to use AI for other purposes.

1.5 Redistribution Requirements

If you copy, redistribute, or make available the Software (or any derivative work of it) to any third party through any permitted channel, you must:

• Include the LICENSE file (Business Source License 1.1) in its entirety, unmodified
• Include the NOTICE file containing copyright and attribution notices
• Include the THIRD-PARTY-LICENSES file in its entirety, unmodified
• Preserve all copyright notices and license headers contained in the source code

You must NOT include the following SoraVantia GK-specific documents with any modified or derivative version of the Software, as they govern SoraVantia GK's direct relationship with its users and do not apply to derivative works:

• The EULA (this End User License Agreement & Terms of Service) - you must remove it or replace it with your own terms
• The PRIVACY-POLICY - you must remove it or replace it with your own privacy policy that accurately describes your product's data practices

If you distribute a modified version of the Software, you must clearly indicate that it is a modified version, that it is not endorsed by or affiliated with SoraVantia GK, and you must use a different name and branding as required by Section 5.1. Any recipient of the Software through redistribution is bound by the terms of the Business Source License 1.1. These requirements apply in addition to, and do not limit, any obligations under the Business Source License 1.1 itself.



1A. ELIGIBILITY

You must be at least 16 years of age, or the minimum age required to enter into a binding agreement under the laws of your jurisdiction, whichever is higher, to use the Software. By installing or using the Software, you represent and warrant that you meet this age requirement. If you do not meet the applicable minimum age, you may not install or use the Software. It is your responsibility to determine the minimum age requirement in your jurisdiction.



2. NO SUBSCRIPTION, NO LOGIN, NO BACKEND

2.1 No-Cost Software

NuModeX Ext Maker is available at no charge. There are no subscription fees, no login requirements, and no backend server.

2.2 No Account Required

No user account, Google sign-in, or registration is required to use the Service.

2.3 No Data Collection

The Service does not collect, store, or transmit any user data to external servers. All settings and preferences are stored locally in your browser using the browser's extension storage API.



3. AI API KEYS AND EXTERNAL SERVICES

3.1 User-Provided API Keys

IMPORTANT: NuModeX Ext Maker requires you to provide your own API keys for AI services (such as Google Gemini, OpenAI GPT, Anthropic Claude, etc.). You are fully responsible for:

• Obtaining valid API keys from AI service providers
• All costs associated with AI API usage and consumption
• Ensuring API key security, confidentiality, and proper usage
• Compliance with all AI service provider terms and conditions
• Managing API rate limits and quotas

3.2 SoraVantia GK's Non-Responsibility for API Services

SoraVantia GK does NOT:

• Store, access, or have control over your API keys (they are stored locally in your browser only)
• Pay for or subsidize your AI API usage costs
• Guarantee availability or performance of third-party AI services
• Provide technical support for AI service provider issues
• Bear responsibility for AI service outages or limitations

3.3 AI Service Integration

The Service integrates with various AI providers. Your use of these services is subject to their respective terms of service and privacy policies.

3.4 Token Usage and API Costs

When you use NuModeX Ext Maker to build, edit, improve, or chat about extensions and websites, the Software sends requests to the AI provider you selected using your API key. Each request includes your input (prompt text, conversation history, and any attached images) as well as internal instructions (system prompts) used by the Software to guide the AI model's behavior and output format. These internal instructions are proprietary to SoraVantia GK and are not user-visible, but they contribute to the total token count of each API request.

You should be aware of the following factors that affect your API costs:

• Every API request includes the Software's internal system prompt, which consumes tokens in addition to your own input. The size of the system prompt varies depending on the operation (building, editing, chatting, improving) but may range from several hundred to several thousand tokens per request.
• Conversation history is included in subsequent requests within the same session, which means token usage increases as the conversation grows longer.
• Building or improving an extension or website typically consumes more tokens than a simple chat message, because the AI model generates complete file contents in its response.
• Different AI models have different token pricing. Larger, more capable models generally cost more per token than smaller models. Consult your AI provider's pricing page for current rates.
• Some AI providers offer features such as prompt caching that may reduce costs for repeated requests. Whether these features apply depends on the provider and is outside the control of SoraVantia GK.

SoraVantia GK does not control, set, or receive any portion of the fees charged by AI providers. All API costs are billed directly by the AI provider to you based on your token consumption. SoraVantia GK is not responsible for unexpected or higher-than-anticipated API costs resulting from your use of the Software, regardless of the cause.



4. ACCEPTABLE USE

4.1 Permitted Use

You may use NuModeX Ext Maker to:

• Generate browser extensions and static websites for personal or commercial use
• Create extensions and websites based on text and image prompts
• Download and modify generated extension and website code
• Publish your generated extensions to any browser extension marketplace (see Section 1.4)
• Use the Service in any of the 9 supported languages

4.2 Prohibited Use

You may NOT:

• Use the Service for illegal purposes
• Generate extensions that violate browser extension marketplace policies
• Use the Service to create malicious software, malware, or harmful extensions
• Publish, upload, or distribute NuModeX Ext Maker itself (the builder tool) or derivative works of it to any browser extension marketplace without prior written permission from SoraVantia GK (see Section 1.3)
• Use NuModeX Ext Maker to create a product or service whose primary purpose is substantially similar to NuModeX Ext Maker - that is, a tool for generating browser extensions or websites using AI (see Section 1.4)
• Use the Software or its AI-generated output to create, distribute, or facilitate content or extensions that: (1) incite violence, hatred, or discrimination against any individual or group; (2) facilitate the development of weapons or illegal activities; (3) generate child sexual abuse material (CSAM) or any exploitative content involving minors; (4) create deepfakes or synthetic media for fraudulent or harmful purposes; (5) harass, threaten, or intimidate individuals; or (6) otherwise violate applicable laws or regulations
• Provide professional advice in high-risk domains (including but not limited to medical, legal, or financial advice) based solely on AI-generated output without qualified human oversight and independent professional verification. The Software is not a substitute for licensed professionals
• Conduct political influence operations (including but not limited to generating content or extensions for deceptive political campaigns, automated influence operations, voter manipulation, astroturfing, or producing misleading content designed to interfere with democratic processes or misrepresent candidates, parties, or political issues)
• Use the Software in violation of any applicable export control laws, trade sanctions, or embargoes, including but not limited to those of Japan, the United States, or the European Union
• Remove, alter, or obscure the LICENSE file, NOTICE file, THIRD-PARTY-LICENSES file, copyright notices, trademark notices, attribution notices, or license headers from the Software or its source code when redistributing or making available the Software or any derivative work (see Section 1.5)
• Include SoraVantia GK's EULA or PRIVACY-POLICY with any modified or derivative version of the Software, or otherwise represent or imply that a modified or derivative version is endorsed by, affiliated with, or published by SoraVantia GK (see Section 1.5)

4.3 Marketplace Compliance

You are solely responsible for ensuring that any extensions you generate and publish comply with the policies, guidelines, and terms of service of the browser extension marketplace where you publish them. SoraVantia GK bears no responsibility for policy violations or store rejections.



5. INTELLECTUAL PROPERTY

5.1 SoraVantia GK Property

NuModeX Ext Maker and its original content, features, and functionality are owned by SoraVantia GK and are protected by international copyright and other intellectual property laws. The source code is made available under the Business Source License 1.1, which grants broad usage rights while SoraVantia GK retains copyright ownership. "SoraVantia," "NuModeX," "NuModeX Ext Maker," and the NuModeX logo are trademarks of SoraVantia GK and are not licensed under the Business Source License 1.1. Use of these trademarks requires prior written permission from SoraVantia GK. Anyone distributing a modified version of this software must use a different name and branding.

5.2 Generated Content

You retain any rights you may have in extensions, websites, and code you create using NuModeX Ext Maker. As described in Section 1.4, your generated output is yours and may be published, distributed, and commercialized on any platform without restriction or permission from SoraVantia GK, subject to:

• Any third-party licenses in the generated code
• Compliance with applicable laws and browser extension marketplace policies
• The restrictions in Section 1.3 (you may not republish NuModeX Ext Maker itself) and Section 1.4 (you may not create a substantially similar competing tool)

However, AI-generated code may not be eligible for copyright protection under applicable law. The Licensor makes no claim of ownership over AI-generated output.

5.3 AI Model Attribution

The Service uses various AI models (including Google Gemini, OpenAI GPT, and Anthropic Claude) to generate content. Output may be subject to those services' terms and may reflect training data patterns.

5.4 AI Disclosure

You are responsible for complying with any applicable laws or regulations requiring disclosure that content or software was generated or assisted by artificial intelligence.

5.5 NOTICE File

A NOTICE file is included with the software containing required attribution notices as specified by the Business Source License 1.1 and other applicable licenses.

5.6 Reservation of Rights

All rights not expressly granted to You in this Agreement are reserved by SoraVantia GK. No implied licenses or rights are granted by estoppel, exhaustion, or otherwise. Nothing in this Agreement shall be construed as granting, by implication, waiver, or otherwise, any rights or licenses other than those expressly set forth herein.

NuModeX Ext Maker incorporates third-party software under their own licenses (MIT, BSD-3-Clause, Apache 2.0, Zlib). A complete listing with full license texts is available in the THIRD-PARTY-LICENSES file in the project repository. The following is a summary of the key third-party components:

7. PRIVACY AND DATA HANDLING

7.1 No Data Collection by SoraVantia GK

NuModeX Ext Maker does not collect, store, or transmit any personal data to SoraVantia GK. SoraVantia GK has no servers, analytics, or tracking for this product. The Service operates entirely within your browser.

7.2 Local Storage Only

The following data is stored locally in your browser and never sent to SoraVantia GK:

• API key (stored in the browser's local extension storage)
• EULA acceptance status (stored in the browser's local extension storage)
• UI preferences such as language and dark mode (stored in the browser's local extension storage)
• Selected AI model (stored in the browser's local extension storage)
• Projects including generated files, conversation history, and undo history (stored in IndexedDB)
• Custom model configuration including endpoint URL, model name, and optional API key (stored in the browser's local extension storage)

You can delete all locally stored data by uninstalling the extension, or by using the in-app delete options for API keys and projects.

7.3 Data Sent to Third-Party AI Providers

When you use NuModeX Ext Maker to generate, edit, or chat about extensions, your prompt text and conversation history are transmitted directly from your browser to the AI provider you selected (such as Google, OpenAI, or Anthropic) using your own API key. SoraVantia GK does not act as an intermediary and does not have access to this data. Your use of third-party AI services is governed by their respective privacy policies.

On-device AI models provided by your browser process prompts entirely on your device with no external transmission.

You may also configure a custom AI server endpoint. When using a custom endpoint, your prompts are sent directly to the server address you configured. SoraVantia GK has no knowledge of, control over, or responsibility for custom endpoints you configure.

7.5 Data Protection Compliance

SoraVantia GK is a Japanese corporation subject to the Act on the Protection of Personal Information (APPI). The Software's local-first architecture is designed to satisfy applicable data protection requirements by default. Since SoraVantia GK does not collect, receive, store, or process any personal data through NuModeX Ext Maker, no data processing obligations arise under the APPI, the General Data Protection Regulation (GDPR), or the California Consumer Privacy Act (CCPA/CPRA) with respect to SoraVantia GK's operation of this product. Your interactions with third-party AI providers, custom server endpoints, and on-device AI models are governed by their respective terms and privacy policies, and SoraVantia GK bears no responsibility for any data processing performed by those services.

7.6 Marketplace Analytics Data

If NuModeX Ext Maker is distributed through one or more browser extension marketplaces (such as the Chrome Web Store, Edge Add-ons, Firefox Add-ons, Safari Extensions via the App Store, or Naver Whale Store), the marketplace operator may collect usage data from users and provide SoraVantia GK with aggregate, non-personally-identifiable analytics through the marketplace's developer dashboard. This data is collected and processed by the marketplace operator under its own privacy policy and terms of service - not by NuModeX Ext Maker or SoraVantia GK directly.

The types of aggregate data that marketplace operators may provide to SoraVantia GK include, but are not limited to:

• Install and uninstall counts
• Store listing page impressions and page views
• Weekly or daily active user counts
• Geographic distribution of users (country or region level)
• Operating system and language distribution
• Extension version adoption rates
• User retention metrics
• Campaign and referral source attribution (if UTM parameters are used)

This analytics data is aggregate and statistical in nature. It does not contain personally identifiable information such as names, email addresses, IP addresses, or individual browsing activity. SoraVantia GK uses this data solely to understand adoption trends, improve the Software, and evaluate the effectiveness of distribution channels.

For clarity: the NuModeX Ext Maker extension itself contains no analytics, telemetry, or tracking code. The extension does not transmit any data to SoraVantia GK. The aggregate analytics described in this section are collected and provided entirely by the marketplace platform, not by the extension. Your use of the marketplace is governed by that marketplace operator's privacy policy.



8. LANGUAGE SUPPORT

8.1 Supported Languages

The Service interface is available in 9 languages: English, Japanese, Spanish, French, Korean, Chinese, German, Portuguese, and Italian. Customer support is available in English and Japanese only.

8.2 Language Conflicts

This Agreement is written and executed in English. Translated versions of this Agreement are provided solely for the convenience of non-English-speaking users and have no independent legal effect. In case of any discrepancy, inconsistency, or ambiguity between the English version and any translated version of this Agreement, the English version shall prevail and govern in all respects. No translated version of this Agreement shall be used to interpret, modify, or limit the meaning or scope of the English version. The English version is the sole legally binding version of this Agreement.



9. DISCLAIMER OF WARRANTIES

BY USING THE SOFTWARE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SOFTWARE IS ENTIRELY AT YOUR OWN RISK. YOU ASSUME FULL RESPONSIBILITY FOR ANY AND ALL CONSEQUENCES ARISING FROM YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO ANY EXTENSIONS, WEBSITES, OR OTHER CONTENT GENERATED BY THE SOFTWARE. SORAVANTIA GK SHALL BE HELD HARMLESS FROM ANY CLAIMS, DAMAGES, LOSSES, OR LIABILITIES ARISING FROM YOUR USE OF THE SOFTWARE OR ANY OUTPUT IT PRODUCES.

9.1 "AS IS" BASIS

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SoraVantia GK does not warrant that the Software is free from vulnerabilities, errors, or interruptions, or that it will meet your specific requirements.

SORAVANTIA GK DOES NOT WARRANT THAT:

• THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
• THE SOFTWARE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR APPROPRIATE
• ANY DEFECTS IN THE SOFTWARE WILL BE CORRECTED
• THE SOFTWARE WILL BE COMPATIBLE WITH ANY PARTICULAR BROWSER VERSION OR CONFIGURATION BEYOND THE STATED SYSTEM REQUIREMENTS

9.2 AI-Generated Content

• Generated extensions and websites may contain errors, bugs, or security vulnerabilities
• We do not guarantee the functionality, security, or performance of generated code
• You are responsible for testing, validating, and securing generated extensions and websites before use
• AI outputs may occasionally be inaccurate, incomplete, or inappropriate
• Generated code may inadvertently include copyrighted or proprietary elements

9.3 API Service Dependencies

• The Service depends on third-party AI APIs that may be unavailable, rate-limited, or discontinued
• We are not responsible for AI service outages, changes, or terminations
• API costs and usage are entirely your responsibility

9.4 Security of Generated Code

SoraVantia GK does not review, audit, test, or validate the security of any code generated by the Software. Generated browser extensions and websites may contain security vulnerabilities, insecure coding patterns, improper handling of sensitive data, overly broad permission requests, or other security deficiencies. You are solely responsible for conducting your own security review, testing, and validation of all generated code before installation, deployment, distribution, or any other use. SoraVantia GK shall not be liable for any security incident, data breach, unauthorized access, or other harm arising from the use of generated code.

9.5 Browser Extension Permissions

Browser extensions generated by NuModeX Ext Maker may request powerful browser permissions (including but not limited to access to tabs, browsing data, storage, active tab content, cookies, web requests, and content script injection). SoraVantia GK does not control, review, or validate the permissions requested by generated extensions. You are solely responsible for reviewing the permissions declared in any generated manifest.json file, understanding the implications of those permissions, and ensuring that any extensions you install or distribute request only the permissions necessary for their intended functionality. SoraVantia GK bears no responsibility for any consequences arising from overly broad, unnecessary, or inappropriate permission requests in generated extensions.



10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SORAVANTIA GK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OPPORTUNITY
• ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SOFTWARE
• ANY DAMAGES ARISING FROM AI-GENERATED CONTENT, INCLUDING INACCURATE CODE, SECURITY VULNERABILITIES IN GENERATED EXTENSIONS, INCORRECT INFORMATION, OR INAPPROPRIATE OUTPUT
• ANY DAMAGES ARISING FROM EXTENSIONS OR WEBSITES YOU CREATE, PUBLISH, OR DISTRIBUTE USING THE SOFTWARE
• ANY DAMAGES EXCEEDING THE AMOUNT YOU ACTUALLY PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SORAVANTIA GK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, SORAVANTIA GK'S LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

SORAVANTIA GK'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT, WHETHER ARISING FROM WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU ACTUALLY PAID TO SORAVANTIA GK FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED JAPANESE YEN (¥100).



11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SoraVantia GK and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service or generated extensions and websites
• Your reliance on AI-generated output
• Violation of this Agreement
• Violation of third-party rights
• Your API usage costs or violations of AI service terms
• Extensions or websites you create, distribute, or publish using the Software
• Your violation of any applicable law or regulation

12. THIRD-PARTY SERVICE DISCLAIMER

12.1 Third-Party Integrations

The Software integrates with third-party AI providers (such as Google, OpenAI, and Anthropic), custom AI server endpoints configured by the user, and on-device AI models provided by the browser. These services are operated by independent third parties and are not under the control of SoraVantia GK.

SoraVantia GK is not affiliated with, endorsed by, sponsored by, or in any way officially connected with Google LLC, OpenAI Inc., Anthropic PBC, or any of their subsidiaries or affiliates. All product names, trademarks, and registered trademarks (including but not limited to Google, Gemini, OpenAI, GPT, Anthropic, and Claude) are the property of their respective owners. Their mention in this Software and its documentation is for identification purposes only and does not imply any endorsement, partnership, or affiliation. SoraVantia GK may add, remove, or change support for AI providers and models at any time. The addition of support for any AI provider does not imply any affiliation with or endorsement by that provider.

12.2 No Guarantee

SoraVantia GK does not guarantee the availability, performance, accuracy, or continued operation of any third-party service. Third-party services may experience outages, rate limiting, API changes, discontinuation, or other disruptions without notice.

12.3 Non-Responsibility

SoraVantia GK is not responsible for:

• Any data processing, storage, or handling performed by third-party service providers
• Any changes to third-party APIs, pricing, terms of service, or privacy policies
• Any loss or damage arising from the unavailability or malfunction of third-party services
• Any content generated, returned, or processed by third-party services
• Any data transmitted to, processed by, or stored on custom AI server endpoints configured by the user. SoraVantia GK has no knowledge of, control over, or responsibility for custom endpoints. If you configure a custom server, you are solely responsible for understanding that server's data practices, security, and compliance with applicable laws

12.4 User Responsibility

Your use of third-party services is governed by their respective terms of service and privacy policies. You are responsible for reviewing and complying with those terms.

12.5 Changes to Integrations

SoraVantia GK may add, remove, or change supported third-party integrations at any time without prior notice.



13. TERMINATION

13.1 Termination by You

You may terminate this Agreement at any time by uninstalling the Extension.

13.2 Termination by SoraVantia GK

We may terminate or suspend availability of the Service at any time without prior notice.

13.3 Effect of Termination

Upon termination, you may retain previously generated extension and website code. Sections 5, 9, 10, 11, 12, 14, 15, 16, 17, 18, and 20 shall survive termination.



14. FEEDBACK

If You provide SoraVantia GK with any feedback, suggestions, ideas, bug reports, or comments about the Software ("Feedback"), You grant SoraVantia GK an irrevocable, perpetual, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, and incorporate that Feedback into the Software or any other product or service, without any obligation to compensate You. You acknowledge that SoraVantia GK is not required to use any Feedback and may already be developing similar features independently. Any Feedback You provide is on a non-confidential basis, and SoraVantia GK shall have no obligation of confidentiality with respect to any Feedback, regardless of any markings, legends, or notices to the contrary.



15. EXPORT COMPLIANCE

You agree to comply with all applicable export control laws and regulations, including those of Japan, the United States, and any other relevant jurisdiction. You represent and warrant that You are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions, and that You are not on any restricted party list. You shall not export, re-export, or transfer the Software or any related technical data in violation of applicable export control laws. SoraVantia GK makes no representation regarding the legality of downloading, accessing, or using the Software in any particular jurisdiction. You are solely responsible for ensuring that your use of the Software complies with all laws applicable to you in your jurisdiction.



16. FORCE MAJEURE

SoraVantia GK shall not be liable for any failure or delay in performing its obligations under this Agreement (including but not limited to providing updates, support, or service availability) to the extent that such failure or delay results from circumstances beyond SoraVantia GK's reasonable control, including but not limited to: natural disasters, pandemics, epidemics, acts of God, war, terrorism, riots, civil unrest, government actions or orders, labor disputes, power or internet failures, third-party service outages, cyberattacks, or failures of telecommunications or infrastructure. During any period of force majeure, SoraVantia GK's affected obligations shall be suspended without liability.



17. CLASS ACTION WAIVER

To the maximum extent permitted by applicable law, You and SoraVantia GK agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against SoraVantia GK. If this waiver is found to be unenforceable in Your jurisdiction, the remainder of this Agreement shall remain in full force and effect.



18. SOFTWARE STABILITY

The Software is provided as a production release; however, as with all software, it may contain bugs, errors, or unexpected behavior. SoraVantia GK does not guarantee uninterrupted or error-free operation. Features and AI model compatibility may change between versions. This section supplements, and does not limit, the Disclaimer of Warranties in Section 9.



19. CHANGES TO THIS AGREEMENT

19.1 Modification Rights

We reserve the right to modify this Agreement at any time. Non-material changes will be effective upon posting with an updated version number. Material changes will take effect no sooner than thirty (30) days after notification, unless a longer period is required by applicable law.

19.2 Notification

Material changes to this Agreement will be communicated through one or more of the following channels:

• By including the updated Agreement in a new release of the Software distributed through any browser extension marketplace where the Software is published (if applicable)
• By displaying the updated Agreement through the in-app Terms of Service screen within the Software
• By posting the updated Agreement on the product's official website (currently https://numodex.com/numodexextmaker, which may change in the event of a transfer of ownership or rebranding)
• By updating the Agreement in the project's source code repository (if publicly available)

In the event of an assignment or transfer under Section 20.6, the successor entity may notify users through equivalent channels under its own control, provided that at least one notification method delivers the updated Agreement directly through the Software itself (such as the in-app Terms of Service screen or a new release distributed through a browser extension marketplace).

Continued use of the Software after the effective date of any modification constitutes acceptance of the modified Agreement. If You do not agree to the modified terms, You must discontinue use of the Software.



20. GENERAL PROVISIONS

20.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

20.2 Dispute Resolution

Any disputes arising from or relating to this Agreement shall be resolved exclusively in the courts of Tokyo, Japan. You consent to the exclusive jurisdiction and venue of such courts and waive any objection to the laying of venue in such courts.

20.3 Entire Agreement

This Agreement constitutes the entire agreement between you and SoraVantia GK regarding the Service and supersedes all prior agreements and understandings.

20.4 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full force and effect.

20.5 No Waiver

Our failure to enforce any right or provision shall not be considered a waiver of such right or provision.

20.6 Assignment and Transfer

You may not assign or transfer this Agreement or any rights hereunder without our prior written consent.

SoraVantia GK may, without notice to or consent from You, assign, transfer, delegate, or sublicense any or all of its rights and obligations under this Agreement to any third party, including but not limited to in connection with a merger, acquisition, corporate reorganization, sale of all or substantially all of SoraVantia GK's assets, change of control, initial public offering, or any other corporate transaction. Upon any such assignment or transfer, all of SoraVantia GK's rights, title, and interest in and to the Software - including all intellectual property rights, copyrights, trademarks, trade secrets, and the Business Source License 1.1 - shall automatically transfer to the assignee or successor entity.

SoraVantia GK may also sublicense, delegate, or authorize third parties to exercise any of its rights under this Agreement, including but not limited to rights related to distribution, support, licensing, and enforcement, in connection with partnership arrangements, white-label agreements, or other business relationships, without notice to or consent from You.

This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, assigns, heirs, and legal representatives. Any successor entity or assignee shall be bound by the same obligations and entitled to the same rights as SoraVantia GK under this Agreement, including the right to modify this Agreement in accordance with Section 19.
